Terms of Service

Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Heliz web application, mobile applications (including Heliz for iOS), and related services provided by Innovation Studio Inc. (“Heliz,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms.

If you use Heliz on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Business / Organization Use

Heliz is a business platform intended for use by organizations and their authorized users. The Services are not directed to consumers for personal, household, or non-business use.

Existing Workspace Accounts

Heliz for iOS is intended for users with an existing Heliz workspace account provisioned by their organization. The iOS app does not provide a public self-service sign-up, workspace creation, or checkout flow. If you need access, contact your organization or workspace administrator.

Customer Content

Your organization and its users may submit, store, and manage data in Heliz, including work items, projects, comments, attachments, and other business content (“Customer Content”). As between Heliz and the customer organization, the organization controls Customer Content and is responsible for its accuracy, legality, and use.

You grant Heliz the rights reasonably necessary to host, process, transmit, display, and otherwise use Customer Content solely to provide and improve the Services, consistent with these Terms and applicable law.

Acceptable Use

You agree not to misuse the Services. Without limitation, you will not:

violate applicable law; attempt unauthorized access to accounts, workspaces, or systems; interfere with or disrupt the Services; upload malware or harmful code; misuse AI features to generate unlawful or harmful output; or use the Services in a manner that infringes the rights of others.

Workspace Administration

Customer organizations and their designated workspace administrators may manage user access, roles, workspace settings, and certain data within their environment. Heliz is not responsible for decisions made by an organization regarding provisioning, suspension, removal, or retention of user accounts or workspace data.

AI Features

Certain AI-assisted features, including Ask Heliz, may be made available within a workspace. AI output may be incomplete or inaccurate and should be reviewed before reliance. Your organization controls whether AI features are enabled and how users may use them.

Availability and Changes

We may modify, suspend, or discontinue all or part of the Services from time to time. We may also update these Terms. If we make material changes, we will provide notice by reasonable means, such as posting an updated version on our website or within the product. Continued use after changes become effective constitutes acceptance of the updated Terms.

Third-Party Services

The Services may integrate with or link to third-party services, including identity providers and external data sources configured by your organization. Heliz is not responsible for third-party services and their terms, privacy practices, or availability.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIZ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIZ'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU OR YOUR ORGANIZATION TO HELIZ FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
